1. INTRODUCTION AND ACCEPTANCE
1.1. Contractual Relationship
These Terms and Conditions (“Agreement”) constitute a legally binding agreement between Gypod (“Company”, “we”, “us”, or “our”), a company registered under the laws of the Republic of Bulgaria (Address: Prilep str., 38, Blagoevgrad 2700, Bulgaria), and you (“User”, “Teacher”, or “Student”).
1.2. Acceptance of Terms
By accessing the website gypod.com or using any of our related services (the “Platform”), you confirm that you have read, understood, and agreed to be bound by this Agreement, our Privacy Policy, and our Cookie Policy. If you do not agree, you must immediately cease using the Platform.
2. NATURE OF THE PLATFORM (“VENUE” MODEL)
2.1. SaaS and Technical Infrastructure
Gypod is a software-as-a-service (SaaS) provider. We offer a technical environment and professional tools (including “Material Builder”, AI-generators, and video-conferencing infrastructure) to facilitate online instruction.
2.2. No Employment or Agency Relationship
Gypod is not an educational institution, school, or employer. We do not hire Teachers, nor do we act as an agent for recruiting Students. Teachers operate as independent contractors using our tools for their own business. Nothing in this Agreement shall be construed as creating a partnership, joint venture, or employer-employee relationship.
2.3. Platform Independence
Gypod does not take part in the interactions, negotiations, or contractual arrangements between Teachers and Students. We are not responsible for the quality of instruction, the educational results, or any disputes arising between the parties.
3. ELIGIBILITY AND AGE RESTRICTIONS (18+)
3.1. Minimum Age Requirement
The Platform and Services are intended strictly for users who are at least eighteen (18) years old.
3.2. Teacher’s Warranty Regarding Students
Since Gypod does not attract or assign Students to Teachers, the Teacher bears sole legal responsibility for verifying that their Students are at least 18 years old. By granting a Student access to a session, the Teacher represents and warrants that they have confirmed the Student’s age.
3.3. Indemnification for Age Violations
If a Teacher provides access to a minor (under 18) without proper legal documentation (e.g., parental consent under local laws), the Teacher agrees to indemnify and hold Gypod harmless against any claims, fines, or damages resulting from such a violation.
4. FEES, PAYMENTS, AND SUBSCRIPTIONS
4.1. Payment Model
Gypod operates on a B2B (Business-to-Business) basis with Teachers. We receive payments only from Teachers for access to Platform features (e.g., subscription plans, AI-powered tools, additional storage).
4.2. Student Access
Students do not pay any fees directly to Gypod for the use of the technical infrastructure provided by their Teacher. Any financial arrangements for lessons are made directly between the Teacher and the Student outside of the Gypod Platform’s core SaaS billing.
4.3. Recurring Billing and Non-Refundability
Teacher subscriptions are billed in advance. By signing up for a paid plan, the Teacher authorizes recurring charges to their chosen payment method. Fees paid to the Platform are generally non-refundable, as access to digital tools is provided immediately upon payment.
5. CONTENT AND INTELLECTUAL PROPERTY
5.1. Platform IP
All software, designs, logos, and materials provided by Gypod are the exclusive property of the Company and its licensors.
5.2. Teacher-Generated Content
Teachers retain ownership of the materials they upload to the Platform. However, by uploading content, the Teacher grants Gypod a worldwide, non-exclusive, royalty-free license to host, process, and display that content solely as necessary to provide the Services (e.g., showing materials to a Student during a lesson, using materials to generate additional materials at the teacher’s request, etc).
5.3. Third-Party Rights and Liability
The Teacher is solely responsible for the content they use. The Teacher warrants that uploaded materials do not infringe upon the intellectual property rights of any third party. Gypod does not pre-screen content and disclaims all liability for copyright infringements committed by Users.
6. LESSON SCHEDULING AND CANCELLATIONS
6.1. Private Arrangement
Gypod does not enforce or manage policies regarding lesson cancellations, rescheduling, or no-shows. These matters are subject to the private agreement between the Teacher and the Student.
6.2. Recommendations Only
Gypod may provide templates or recommendations for cancellation windows (e.g., a 24-hour notice rule), but these are for informational purposes only and are not legally binding unless adopted by the Teacher in their own terms with the Student.
7. DATA PROTECTION (GDPR)
7.1. Roles in Data Processing
In accordance with our Privacy Policy:
- Gypod acts as a Data Controller for User account management and billing.
- Gypod acts as a Data Processor for lesson content and video transmission.
- The Teacher acts as an Independent Data Controller for the Student’s pedagogical data and age verification.
8. LIMITATION OF LIABILITY AND DISCLAIMERS
8.1. “As-Is” Service
The Platform is provided on an “as-is” and “as-available” basis. Gypod does not warrant that the Services will be uninterrupted, error-free, or meet specific pedagogical expectations.
8.2. Limitation of Liability
To the maximum extent permitted by Bulgarian law, Gypod’s total liability for any claim shall not exceed the total amount of fees paid by the User to the Company during the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. TERMINATION
9.1. Right to Terminate
We reserve the right to suspend or terminate your account immediately and without notice if you violate this Agreement, infringe on third-party IP, or if we have reason to believe you are providing access to minors in violation of Section 3.
10. GOVERNING LAW AND JURISDICTION
10.1. Governing Law
This Agreement is governed by and construed in accordance with the substantive laws of the Republic of Bulgaria.
10.2. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Blagoevgrad, Bulgaria.
